Terms & Conditions for all Subscription Plans Provided by SKUNKWORK™

These Terms & Conditions (“Terms”) govern the subscription plans provided by SKUNKWORK (“Provider”), a service of T31N. Limited, operating as SKUNKWORK™ (SKUNKWORK.co.uk). By subscribing to any plan, companies (“Company”) agree to be bound by these Terms.

1. Subscription Plans

SKUNKWORK offers a range of subscription plans tailored to meet different business needs. These plans include:

  • On Demand Maintenance & Security Plan
  • Graphic Design Remote Team Plan
  • On Demand Remote Tech Team Plan
  • Print & Packaging Remote Team Plan

Each subscription plan grants access to specific services as detailed on our homepage (SKUNKWORK.co.uk). Plans are offered on a monthly basis with automatic renewal unless paused or canceled by the Company. An option for annual subscriptions is also available, offering a 15% discount on the total of 12 months’ fees.

1.1 Nature of Subscription

All tasks performed under subscription plans are treated as ‘one-off tasks’—whether related to print designs, graphic designs, or maintenance/fix tasks. These tasks are governed by the One-Off Tasks Service Level Agreement (SLA) and the One-Off Tasks Terms & Conditions.

1.2 Operating Hours

The human team at SKUNKWORK operates within specific hours to handle and execute tasks. These hours differ between Subscribers and One-Off Task Customers:

The AI-based onboarding system is active 24/7, ensuring companies can submit tasks at any time. However, tasks will only be executed during the human team’s operating hours.

2. Payment Terms

2.1 Monthly Subscriptions

  • Payments for monthly subscriptions are processed in advance for the upcoming month via our secure payment gateway, Shopify.
  • Services commence once payment has been successfully processed.

2.2 Annual Subscriptions

  • Payments for annual subscriptions are required in full upfront, covering the entire year.
  • Refunds are not available for unused periods or cancellations after payment, except under specific circumstances as outlined in these Terms.

2.3 Automatic Recurring Payments

  • Recurring payments are automatically debited each month unless the subscription is paused or canceled by the Company.
  • The Company must ensure sufficient funds are available for these transactions to avoid service disruption.

2.4 Payment Default

  • In the event of a missed payment, services will be suspended until the outstanding balance is settled. Any ongoing work will be paused, and no further tasks will be accepted until payment is received.

3. Pausing and Cancelling Services

3.1 Pausing Services

  • The Company may pause its monthly subscription at any time through the online dashboard. During the pause, no payments are due, and services will be temporarily halted.

3.2 Cancelling Services

  • Cancellations can be made via the online dashboard or by emailing [email protected]. Cancellation requests will be processed within 48 hours.
  • For monthly subscriptions, services will continue until the end of the current billing period. No refunds will be provided for the remainder of the billing period.
  • Annual subscriptions may be canceled within the first 14 days for a full refund. Beyond this period, no refunds will be issued.

3.3 Service Reactivation

  • To resume services after a pause, the Company must unpause the subscription through the online dashboard and prepay for the upcoming month.
  • If a subscription is canceled and later reactivated, the Company must re-subscribe and prepay for the selected plan.

4. Fair Usage Policy

SKUNKWORK applies a Fair Usage Policy to ensure equitable access to services across all subscribers. Each subscription plan includes a specific number of tasks per month, with usage limits increasing progressively the longer the subscription remains active.

  • Unused portions of the monthly quota do not roll over to the next month. Each month’s quota is specific to that month and must be utilized within that period.
  • Impact of Pausing and Reactivation: Pausing a subscription resets fair usage limits to the initial level (6 tasks per service). Reactivating after cancellation will restart the fair usage progression from Month 1.

4.1 Fair Usage Monitoring

  • The Provider reserves the right to monitor and adjust fair usage limits to prevent misuse and ensure fair access for all subscribers. Any changes to usage limits will be communicated to subscribers in advance.

5. Limitation of Services

Subscription plans do not include full website development from the ground up. Companies seeking comprehensive website development should inquire about our “Web Development Program,” where pricing is determined following a demo meeting to discuss specific requirements.

6. Completion Disclaimer

If the Company provides detailed specifications for a task, the Provider commits to delivering results in line with those specifications. If the delivered work does not meet the agreed-upon specifications, this will still count as one usage from the allocated quota for that service.

7. Specification Sign-Off

All projects require specification sign-off by the Company before work commences. This sign-off confirms the requirements, expectations, and deliverables. Any changes to the specifications after sign-off must be communicated and approved by both parties.

8. Data Protection

SKUNKWORK is committed to safeguarding the privacy and security of personal data in compliance with the General Data Protection Regulation (GDPR). This includes:

  • Transparent Data Processing: Companies will be informed about how their data is processed.
  • Explicit Consent Mechanisms: The Company’s consent is required before processing personal data.
  • Robust Security Measures: Ensuring the protection of personal data from unauthorized access or breaches.

9. AI Assistance

The Company can access services through our AI Assistance tool, available on every page of the website. This tool allows for project submission, service selection, and subscription management. It is the responsibility of the signee to maintain the confidentiality of login credentials, as they are accountable for any activities conducted under their account.

10. Payment Gateway

SKUNKWORK utilizes Shopify’s secure payment gateway for all transactions. Shopify’s robust security measures ensure the confidentiality of financial information. 12. Applicable Laws

These Terms are governed by the laws of England, and any disputes arising in connection with these Terms or the subscription plan will be resolved in accordance with English law.

13. Disclaimers

SKUNKWORK reserves the right to modify, suspend, or terminate any aspect of the subscription plans in accordance with the Service Level Agreement. The Company acknowledges and agrees to adhere to the terms outlined in the Fair Usage Policy and Completion Disclaimer.

14. Terms for Pausing/Cancellations

14.1 Initiating Cancellation

  • The Company can initiate cancellation through the Provider’s online dashboard or by emailing [email protected].

14.2 Processing Time

  • Cancellation requests will be processed within 48 hours. A confirmation email will be sent once the cancellation is complete. If no confirmation is received, the Company should follow up to ensure the request was processed.

14.3 Effect of Cancellation

  • Monthly Subscriptions: No refunds or pro rata refunds will be provided for the remaining days of the current billing period. If the Company has not prepaid for the current month, services will be suspended until payment is received.
  • Annual Subscriptions: Annual subscriptions can be canceled within the first 14 days for a full refund. After the initial 14-day period, no refunds will be issued, and the subscription will remain active until the end of the annual term.

14.4 Pausing and Resuming Services

  • Pausing Services: The Company can pause the service via their online dashboard. No payments will be required, and no services will be provided during the pause.
  • Resuming Services: To resume service, the Company must unpause the subscription and prepay for the upcoming month.

14.5 General Conditions

  • Account Management: The Company is responsible for managing their subscription through the online dashboard, including initiating cancellations, pauses, and resuming services.
  • Service Non-Provision: Services will not be provided for any period that is not pre-paid. The Company must ensure timely payments to maintain continuous access to subscribed services.

14.6 Service Reactivation

  • Reactivation Post-Cancellation: To reactivate a canceled service, the Company must re-subscribe and prepay for the selected plan.
  • Account Reinstatement: Reactivation is subject to the terms and pricing available at the time of reactivation.

15. Security Protocols For Sensitive Data Exchange

At SKUNKWORK, we prioritize the security and confidentiality of our customers’ sensitive data, particularly when it involves granting temporary administrative access to the backend of websites, such as WordPress, to resolve technical issues. The following protocol outlines our approach to handling sensitive data securely, the steps we take to mitigate potential risks, and the responsibilities of both our team and the customer.

15.1. Data Collection and Request Protocol

When a task requires access to the backend of a customer’s WordPress site or similar platform, we may request that the customer create a temporary admin username and password for our engineers to use. These credentials are requested via one of two secure channels:

  1. Registered Email Address: We send a request for credentials to the email address registered at the time of the One-Off Task purchase or subscription sign-up.
  2. Subscriber Dashboard: For subscribers, credentials can be securely submitted through the “Security & Access” section within the Subscriber Dashboard.

15.2. Secure Storage of Sensitive Data

All sensitive data, including admin credentials, are stored securely within the Tidio app. Tidio is a GDPR-compliant platform known for its robust security features, including:

  • End-to-End Encryption: Tidio employs encryption protocols that ensure all data transmitted and stored is secure and inaccessible to unauthorized users.
  • Access Control: Only authorized personnel within SKUNKWORK have access to the stored credentials. Access is strictly monitored and logged to prevent unauthorized use.
  • Data Privacy: Information stored within Tidio is private and not shared with any third parties unless explicitly required by law or necessary for completing the task.

15.3. Temporary Nature of Credentials

We strongly recommend that customers create temporary credentials specifically for the task at hand. These credentials should be:

  • Unique: Different from any existing usernames or passwords.
  • Temporary: Set to expire after a specific period or upon completion of the task. Customers are advised to delete or deactivate these credentials immediately after our work is completed to further reduce any security risks.

15.4. Disclaimer and Customer Responsibility

While SKUNKWORK takes extensive measures to protect sensitive data, the Company acknowledges and agrees to the following:

  • Data Security Responsibility: The customer is responsible for the initial creation and eventual deletion of temporary credentials. SKUNKWORK cannot be held liable for any breaches resulting from weak passwords, failure to delete credentials post-task, or unauthorized access due to customer negligence.
  • Potential Risks: Although we utilize secure methods for data exchange and storage, the transmission of data over the internet always carries some level of risk. SKUNKWORK is not liable for any unauthorized access or breaches that occur as a result of data being intercepted during transmission, unless such breaches are directly attributable to our negligence.
  • Limitation of Liability: In the event of a security breach, our liability is limited to the direct damages incurred due to our handling of the data, subject to the terms and conditions of our service agreements.

15.5. Breach Response Protocol

In the unlikely event of a security breach:

  • Immediate Notification: We will notify the affected customer(s) immediately via their registered email address.
  • Breach Containment: Our technical team will take immediate action to contain and mitigate the breach, including disabling compromised credentials and assessing any potential damages.
  • Investigation and Reporting: We will conduct a thorough investigation to determine the cause of the breach and implement additional security measures to prevent future incidents. A report detailing the breach and our response will be provided to the affected parties.

15.6. Recommendations for Customers

To further enhance security, we recommend that customers:

  • Use strong, unique passwords for temporary credentials.
  • Enable two-factor authentication (2FA) where possible.
  • Regularly update all passwords and credentials associated with their website.

By following these protocols, SKUNKWORK ensures that sensitive data is handled with the utmost care, reducing the risk of unauthorized access while maintaining the integrity of the services we provide.
